OFFER
The Prospectus is issued by Almonty Industries Inc. ARBN 648 673 714 (Almonty or the Company) in relation to an initial public offering (IPO) of Chess Depositary Interests (CDIs) over fully paid ordinary shares in the Company in Australia (Offer) and admission of the CDIs to the Official List of ASX Limited (ASX).
All CDIs offered for subscription or sale are offered with disclosure under a Prospectus in accordance with Chapter 6D of the Corporations Act 2001 (Cth). The Offer contained in the Prospectus is an invitation to acquire CDIs over fully paid ordinary shares in Almonty.
LODGEMENT AND LISTING
The Prospectus is dated 8 June 2021 (Prospectus Date) and was lodged with ASIC on that date. None of ASIC, ASX or any of their respective officers takes any responsibility for the contents of the Prospectus or the merits of the investment to which the Prospectus relates. An application has been made to ASX for the Company to be admitted to the Official List and for official quotation of the CDIs on ASX.
EXPIRY DATE
The Prospectus expires 13 months after the Prospectus Date. No CDIs will be issued or sold on the basis of the Prospectus after that date.

EXPOSURE PERIOD
The Corporations Act prohibits the Company from processing applications to subscribe for CDIs under the Prospectus in the seven day period after the Prospectus Date (Exposure Period). The Exposure Period ended on 16 June 2021. The Company is now permitted to accept and process applications.
OBTAINING A COPY OF THE PROSPECTUS
During the Exposure Period, an electronic version of the Prospectus without an application form will be available at https://almonty.com/ipo-prospectus/ to persons who are Australian residents only. Application forms will not be made available until after the Exposure Period has expired.
During the Offer Period, the Prospectus is available in electronic form at https://almonty.com/ipo-prospectus/ and https://almontyipo.thereachagency.com. The Offer constituted by the Prospectus in electronic format is available only to persons within Australia. It is not available to persons in other jurisdictions (including the United States). If you access the electronic version of the Prospectus, you should ensure that you download and read the Prospectus in its entirety.

Applications for CDIs may only be made during the Offer Period on an application form attached to or accompanying the Prospectus.
The Corporations Act prohibits any person from passing the application form on to another person unless it is attached to a paper copy of the Prospectus or the complete and unaltered electronic version of the Prospectus.
